AGENT AGREEMENT

THIS AGREEMENT made and entered into by and between Americas Warranty INC, with its principal offices located at 1300 Ridenour Blvd., Ste. 200, Kennesaw, GA 30152 (hereinafter called "Company"), and ________________________________ (hereinafter called "Agent").

WITNESSETH THAT: Americas Warranty INC hereby appoints Agent on a non-exclusive basis to service, solicit, negotiate, and install Dealer Appointment Agreements for products to New and Used Automotive Dealers, and/or affiliated and associated companies subject to the terms and conditions of this Agreement.

1. Territory
Agent is to have the following territory on a non-exclusive basis: ________________________________.

2. General Duties

a. Agent's responsibilities are to introduce, promote, and present Americas Warranty INC branded products to New and Used Automotive Dealers and its affiliated and associated companies. Company shall furnish to Agent all program materials necessary to conduct business.

b. Agent will negotiate, install, and service Dealer Appointment Agreements. No Agreement submitted by Agent shall be binding until approved by Company and signed by a duly authorized officer of Company.

c. Agent will train Dealer and Dealer's employees on installation, reporting, and claim procedures.

d. Agent will service, visit, and train each contracted Dealer within their territory to ensure compliance with Company procedures.

3. Commission
Agent shall be paid commission by the thirtieth (30th) day of each month for the preceding month's business received and paid for by their Assigned Dealers, provided it is received by Americas Warranty INC before the 15th of the month. Business received from the 15th forward will be paid in the following month's commission cycle.

4. Cancellations
Agent agrees to refund Company commissions previously paid to Agent for business when a cancellation refund is provided by Company to Dealer. Cancellation refunds will be netted against current commissions. If current commissions are insufficient, an invoice will be rendered, payable within fifteen (15) days.

5. Authority
Agent has authority to negotiate with Dealers as outlined above. Agent is expressly forbidden to: (a) incur indebtedness on behalf of Company; (b) issue unapproved advertising/literature; (c) enter into legal proceedings regarding Company business; (d) alter or discharge Agreements; (e) waive or modify program terms; or (f) bind Company in any unauthorized manner.

6. Sub-Agent
Agent may appoint Sub-Agents to assist in performance of duties. Any Sub-Agent agreement must require full compliance with Company policies. Company has no obligation to pay Sub-Agents. Agent agrees to indemnify Company against any claims or liabilities arising from Sub-Agent acts.

7. Expenses
Agent shall be responsible for and pay all expenses of every kind in connection with the conduct of business. Company shall not be liable for any expenses incurred by Agent.

8. Collections
All monies received by Agent for or on behalf of Company shall be securely held in fiduciary trust and paid over to Company no later than two (2) calendar days after receipt.

9. Assignment
Neither this Agreement nor any benefits/compensation accrued hereunder shall be assigned or transferred by Agent without prior written consent of Company.

10. Relationship
The relationship between Company and Agent is that of seller and independent sales representative. Agent is an independent contractor and not an employee, partner, or joint venturer.

11. Indemnification
Agent shall hold harmless and indemnify Company against any claims, liability, damages, or legal fees resulting from negligent, fraudulent, or intentional acts of Agent or Sub-Agents. Company shall similarly indemnify Agent against Company acts.

12. Waiver
Failure of Company to require strict compliance with terms shall not constitute a waiver. Modifications must be in writing and signed by an officer of Company.

13. Arbitration & Governing Law
Any controversy or claim arising out of this Agreement shall be settled by binding arbitration under American Arbitration Association rules in the county/state of Company's principal office.

14. Termination
This Agreement may be terminated by either party upon thirty (30) days written notice. Agent remains responsible for commission refunds due. Commissions for business generated during notice period will be paid within 30 days of receipt.

15. Effective Date
This Agreement shall become effective upon execution and supersedes all prior agreements and understandings between the parties.
